Option 1:

Proficio Elements License Desktop and/or Technical Support Agreement

Local Computer or Network Installation

Licensing & Installation Services. Re:discovery Software, Inc. shall provide the Customer with an installation disk, downloadable installation files, and/or Product Key(s) as necessary to implement Proficio Elements, and provide remote technical assistance as necessary during the installation. The Customer shall have 90 days of free Technical Support and 1 hour of free training. After 90 days the Customer may begin a Technical Support plan.

Invoices, Payment and Late Charges. The Customer shall pay the License Fee and the optional Technical Support Fee in accordance with their Proficio Elements store purchase. Late payments may bear interest at the rate of one (1.0) percent per month or part of a month until paid.



Support Services. If the Customer is on a Technical Support plan, Re:discovery Software shall provide the Support Services as described in the Owner’s current Support Services Policy.

Refunds. For a period of 30 days following the date of online purchase, the Customer may return the product for a full refund of the license fee. Any additional services that have been delivered or have taken Re:discovery staff time, such as data conversions or training services are non-refundable. After 30 days the Customer can no longer receive a refund for a Re:discovery product.

Other Expenses. Any other reasonable expenses incurred by Re:discovery services provided to the Customer (and pre-approved by the Customer) in providing training or other project related services (long-distance communications, custom training materials) shall be paid by the Customer.



Technical Support Fees. Technical support fees are subject to change by Re:discovery Software on 30 days’ notice at any time after the first anniversary of the commencement of the Terms of this Agreement.

Confidentiality and Security. Re:discovery agrees to enter into the Customer’s Non-Disclosure Agreement (if applicable and required by the Customer) and to comply with the Customer’s confidentiality policies.

Terms of Use. Use of the software product is governed by the End User License Agreement (EULA) available on the installation disk and displayed during the install process.

Option 2:

Proficio Elements Subscription Desktop

Local Computer or Network Installation



Installation Services. Re:discovery Software, Inc. shall provide the Customer with an installation disk, downloadable installation files, and/or Product Key(s) as necessary to implement Proficio Elements, and provide remote technical assistance as necessary during the installation. The Subscription service fee includes technical support, upgrades, and 1 hour of user training.



Billing. If the Customer chooses the monthly billing option, every month Re:discovery will automatically charge the Customer’s credit card for the agreed upon amount of $133 a month. Annual pricing will be discounted by 10% if elected at any time. The monthly billing option must be paid with a credit card unless Re:discovery agrees in writing (for which email will suffice) to accept payment by check. Optionally, the Customer may choose to pay a discounted monthly rate by paying for one full year in advance. The annual subscription may be paid by either credit card or by check.


Late Fee. A $25.00 late fee may be assessed for any failed credit card transaction or returned check.



Subscription Cancellation. The Customer may cancel their subscription with a 30-day written notice. Notice must be received via email at sales@rediscov.com and must be from the Account Owner or Administrator. Either party may terminate the subscription at any time and for any reason upon not less than 30 days notice, unless there is a violation of the terms, in which case, the account may be terminated immediately.


Upon receipt of cancellation in writing to Re:discovery Software, Inc, the 30-day cancellation policy is in effect. The Customer’s Service will then be terminated following the appropriate last charge for the calendar month of the last month of subscription.




Re:discovery shall have no obligation to maintain any account data after the date of termination. The Customer is able and welcome to back up or export their data into other file formats. If reactivating an account or starting a new account with Re:discovery in the future, then current retail pricing will apply.




Refunds: Monthly Subscriptions. For a period of 30 days following the date of purchase the Customer may cancel the service for a refund of the subscription rate. Any additional options purchased, such as data conversions or training services are non-refundable. After 30 days the Customer will not receive a refund for any monthly charges or fees already paid associated with Re:discovery products and services. Cancellations must be in writing.



Refunds: Annual Subscriptions. For a period of 30 days following the date of purchase the Customer may cancel the service for a refund of the subscription rate. Any additional options purchased, such as data conversions or training services are non-refundable. After 30 days the Customer will not receive a refund for any charges or fees associated with Re:discovery products and services. Cancellations must be in writing and be given 30 days prior to the scheduled renewal date. Cancellations will go into effect at the one year anniversary date of the paid date of the annual subscription. No partial refunds are given for unused months.



Other Expenses. Any other reasonable expenses incurred by Re:discovery Software (and pre-approved by the Customer in writing) directly and solely as a result of training or other project related services (long-distance communications, custom training materials) shall be paid for by the Customer.




Support Services. In consideration of the Customer’s payment of the Software Subscription Fee, Re:discovery Software shall provide the Support Services as described in the their current Support Services Policy, which is incorporated into this Agreement.



Confidentiality and Security. Re:discovery agrees to enter into the Customer’s Non-Disclosure Agreement (if applicable and required by the Customer) and to comply with the Customer’s confidentiality policies. The Customer shall not give their login name and password to a third party unaffiliated with the Customer’s organization. Staff, contractors, or volunteers of the Customer may be allowed access to the Software Product, and they must also agree to Confidentiality.



Terms of Use. Use of the software product is governed by the End User License Agreement (EULA) available within the Proficio Elements system.


Option 3:

Proficio Elements Subscription Cloud Software Service Agreement



Installation Services. Re:discovery shall provide the Customer with access to Proficio Elements on a secure Virtual Machine, utilizing Microsoft’s Azure Cloud services. Re:discovery shall also set up user accounts and provide the Customer with passwords to access Proficio Elements. The service includes regular backups, technical support services provided by Re:discovery staff, upgrades, and 1 hour of user training. Additional terms of use are governed by Microsoft Azure’s Services Terms.



Billing. If the Customer chooses the monthly billing option, every month Re:discovery will automatically charge the Customer’s credit card for the agreed upon amount of $133 a month. Option 4:

Proficio Elements License Cloud



Licensing. Re:discovery Software, Inc. grants a Proficio Elements perpetual license to the Customer. The Customer has elected to have their licensed system hosted in the Cloud. If at any time the Customer chooses to discontinue Cloud hosting services, then Re:discovery Software will provide a copy of the Customer’s full Proficio Elements system including their collection data to install on their own local computer or network.



Hosting Services. Re:discovery Software, Inc. shall provide the Customer with access to Proficio Elements on a secure Virtual Machine, utilizing Microsoft’s Azure Cloud services. If the customer chooses the monthly billing option, every month Re:discovery will automatically charge the Customer’s credit card for the agreed upon amount. The monthly billing option must be paid with a credit card unless Re:discovery agrees in writing (for which email will suffice) to accept payment by check. Optionally, the Customer may choose to pay a discounted monthly rate by paying for one full year of hosting services in advance. The annual total may be paid by either credit card or by check.

Again, if at any time the Customer chooses to discontinue Hosting Services, then Re:discovery Software will provide a copy of the Customer’s full Proficio Elements system including their collection data to install on their own local computer or network.
